Christopher A. Holden
President, Chief Executive Officer and Director
Christopher A. Holden joined AmSurg in October 2007 as President, Chief
Executive Officer and Director. Mr. Holden is a healthcare industry
veteran of more than 21 years, engaged during most of his career directly
in multi-facility and multi-market healthcare management. Prior to joining
AmSurg, Mr. Holden served as Senior Vice President and a Division President
of Triad Hospitals, Inc., of which Mr. Holden was a founding team member
and officer in May 1999. From August 1994 until May 1999, Mr. Holden
held several officer positions with Columbia/HCA Healthcare Corporation.
Claire M. Gulmi
Executive Vice President, Chief Financial Officer, Secretary and Director
Claire M. Gulmi joined AmSurg in September 1994 as Vice President and
Chief Financial Officer. Ms. Gulmi became Senior Vice President in March
1997, Secretary in December 1997, a Director in May 2004 and Executive
Vice President in February 2006. From 1991 to 1994, Ms. Gulmi served
as Chief Financial Officer of Music Holdings, Inc., a music publishing
and video distribution company.
Royce D. Harrell
Senior Vice President, Corporate Services and Chief Compliance Officer
Royce D. Harrell joined AmSurg in October 1992 as Senior Vice President
of Operations. In August 2000, Mr. Harrell became Senior Vice President
of Corporate Services. Mr. Harrell served, in successive order from
1982 to 1992, as a Vice President of Development, Senior Vice President
of Development, and Senior Vice President, Operations of Forum Group,
Inc., an owner and operator of healthcare properties.
David L. Manning
Executive Vice President and Chief Development Officer
David L. Manning has served as Senior Vice President of Development
and Assistant Secretary of AmSurg since April 1992. Mr. Manning became
Executive Vice President and Chief Development Officer in February 2006.
Mr. Manning is a founding shareholder of AmSurg. Mr. Manning co-founded
and was a principal of Practice Development Associates, Inc., a company
specializing in developing single specialty surgery centers, from March
1987 until it was acquired by AmSurg in 1992.
Billie A. Payne, R.N.
Senior Vice President, Operations
Billie A. Payne joined AmSurg in 1995 as a Director of Operations.
She came to the company after managing a large cardiology practice for
more than a decade. Since joining the company, she has served in several
functions in Operations including Vice President of one of the company’s
major divisions. She was named Senior Vice President of Operations in
2007.
Thomas G. Cigarran

Chairman and former President and Chief Executive Officer, Healthways,
Inc.
Healthcare services
Thomas G. Cigarran has served as Chairman of the Board for AmSurg since
1992. Mr. Cigarran served as Chief Executive Officer from January 1993
until December 1997, and President from January 1993 to July 1996. From
December 1997 to December 1999, Mr. Cigarran served as an advisor to
AmSurg. Mr. Cigarran is a co-founder of Healthways, Inc. (NASDAQ: HWAY),
a publicly traded disease management company. Mr. Cigarran has served
as Chairman of the Board of Healthways since 1988 and served as Chief
Executive Officer of Healthways from 1998 until September 2003.
James A. Deal
Director
President, Chief Executive Officer & Director, CLP Healthcare Services,
Inc.
Healthcare Services
James A. Deal, a director of AmSurg since 1992, serves as President
& Chief Executive Officer and Director of CLP Healthcare Services, Inc.,
a private equity backed hospice provider. From January through July
2006, Mr. Deal served as Chairman of the Board of INSPIRIS and from
November 2001 through December 2005 as Chairman and Chief Executive
Officer of INSPIRIS. From September 1998 to June 2001, Mr. Deal served
as President, Chief Executive Officer and a Director of Center for Diagnostic
Imaging, Inc., a national network of outpatient diagnostic imaging centers.
Mr. Deal served as Executive Vice President of Healthways, Inc. (NASDAQ:
HWAY), the leading publicly traded disease management company, from
January 1991 to August 1998, and as President of Diabetes Treatment
Centers of America, Inc., a Healthways subsidiary, from 1985 to August
1998.
Steven I. Geringer
Director
Former President and Chief Executive Officer, PCS Health Systems, Inc.
Pharmaceutical Services
Steven I. Geringer, a director of AmSurg since March 1997, has been
a private investor since June 1996 when he retired as President and
Chief Executive Officer of PCS Health Systems, Inc., a pharmacy benefits
manager and unit of Eli Lilly & Company. Mr. Geringer became President
of PCS in May 1993, when Clinical Pharmaceuticals, Inc., of which Mr.
Geringer was a Founder, Chairman and Chief Executive Officer, merged
with PCS. Prior to then, Mr. Geringer held senior management positions
in the hospital management and managed care industry. Mr. Geringer also
serves as a director of Providence Service Corporation (NASDAQ: PRSC),
a provider and manager of government-sponsored community and home-based
counseling and foster care; and as Chairman and a director of Qualifacts
Systems, Inc., a provider of web-based management information software
and services for health and human services payors, providers and managers.
Debora A. Guthrie

President and Chief Executive Officer of the general partner of Capitol
Health Partners, L.P.
Healthcare Venture Capital
Debora A. Guthrie has served as President and Chief Executive Officer
of the general partner of Capitol Health Partners, L.P., a venture fund
specializing in healthcare industries based in Washington, D.C., since
October 1995. Ms. Guthrie has more than twenty-five years of experience
in healthcare investment banking and venture capital. Ms. Guthrie is
also President and Chief Executive Officer of Capitol Health Consultants
and Capitol Health Global LLC, both management consulting and advisory
businesses providing research, financial and corporate strategy services
to healthcare companies in the United States and Europe. Ms. Guthrie
is a member of the Board of Directors of the Center for International
Private Enterprise, an arm of the U.S. Chamber of Commerce. Ms. Guthrie
was appointed to the Board of Directors in connection with our preferred
stock financing in November 1996. Ms. Guthrie is also a director of
four privately held healthcare services companies.
Henry D. Herr

Former Executive Vice President of Finance and Administration and Chief
Financial Officer, Healthways, Inc.

Henry D. Herr has served as a director of AmSurg since 1992. Mr. Herr
served as Executive Vice President of Finance and Administration and
Chief Financial Officer of Healthways, Inc. (NASDAQ: HWAY), a publicly
traded disease management company, from February 1986 to October 2001
and has been serving as a director of Healthways since 1988. Mr. Herr
is currently serving as a consultant to Healthways. At AmSurg, Mr. Herr
served as Chief Financial Officer from April 1992 until September 1994
and as Secretary from April 1992 until December 1997. From December
1997 to December 1999, Mr. Herr served as an advisor to AmSurg.
Kevin P. Lavender
Director
Senior Vice President, Fifth Third Bank
Corporate Healthcare Lending
Kevin P. Lavender, a director of AmSurg since May 2004, is Senior Vice
President with Fifth Third Bank, responsible for developing a national
presence in corporate healthcare lending. Previously, Mr. Lavender served
as Commissioner of the Tennessee Department of Financial Institutions,
with oversight over all state-chartered financial institutions, from
January 2003 through December 2005. During his tenure as Commissioner,
he also served on the Board of Directors for the Conference of State
Bank Supervisors ("CSBS"), which coordinates and represents legislative
concerns for all 50 states and four U.S. territories' banking departments
and he chaired its national Regulatory Committee. Prior to being named
Commissioner, Mr. Lavender was a cofounder and served as Executive Vice
President of Administration and Banking for MediSphere Health Partners,
Inc., a specialty healthcare facilities company, from May 1996 to October
2002.
Ken P. McDonald
Immediate Past President and Director
Ken P. McDonald joined AmSurg in 1993 as a Vice President. Mr. McDonald
became Executive Vice President and Chief Operating Officer in December
1994, President and a Director in July 1996, Chief Executive Officer
in December 1997 and Immediate Past President in 2007. Mr. McDonald
was President of NASCO Data Systems, Inc., a distributor of IBM microcomputer
products to the value-added reseller community, from 1988 until he joined
AmSurg.
Bergein F. Overholt, M.D.
Director
President, Gastrointestinal Associates, P.C.
Physician
Bergein F. Overholt, M.D., a director of AmSurg since November 1992,
has served as President of Gastrointestinal Associates, P.C., a gastrointestinal
specialty group, and a medical director of The Endoscopy Center, Knoxville,
Tennessee, which owns a limited partnership interest in an ambulatory
surgery center that is majority-owned and managed by AmSurg, since 1992.
Dr. Overholt also serves as Medical Director for AmSurg and Medical
Director of the Laser Department at the Thompson Cancer Survival Center
in Knoxville, Tennessee. Dr. Overholt also is a member of the Board
of Directors of Maryville College in Maryville, Tennessee.
